1. Agreement to Terms
By creating an account or using AcreDraft ("Service"), you agree to these Terms of Service ("Terms"). If you are using AcreDraft on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree, do not use the Service.
2. Description of Service
AcreDraft is a web-based proposal generation tool for residential landscape contractors. The Service allows you to:
- Create professional proposals with Good/Better/Best pricing tiers using AI assistance
- Manage a client contact book
- Send proposals via email and shareable links
- Export proposals as branded PDFs
- Track proposal views and status
- Collect deposits via your own payment links
- Collaborate with team members (Crew plan)
3. Account Registration
- You must provide a valid email address and create a password to use AcreDraft
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activity that occurs under your account
- You must notify us immediately at support@acredraft.com if you suspect unauthorized access to your account
- You must be at least 18 years old to create an account
- You may not create multiple free accounts to circumvent plan limits
4. Subscription Plans and Billing
AcreDraft offers the following plans:
- Free: Limited to 3 proposals per 30-day rolling window with AcreDraft watermark on PDFs
- Pro ($39/month or $348/year): Unlimited proposals, custom branding, email sending, analytics, and deposit collection
- Crew ($79/month or $708/year): Everything in Pro plus up to 5 team seats with shared proposals and clients
Billing
- All paid subscriptions are billed in advance on a monthly or annual basis through Dodo Payments, our Merchant of Record
- Prices are in US dollars and may be subject to applicable taxes (calculated and collected by Dodo Payments)
- You may cancel your subscription at any time from your Settings page. Cancellation takes effect at the end of your current billing period — no partial refunds are issued for unused time
- We reserve the right to change pricing with 30 days notice. Price changes do not apply to your current billing period
Free trials
- Paid plans may include a free trial period. If you do not cancel before the trial ends, you will be automatically charged for the plan
- Trial eligibility is limited to one trial per person/business
5. Free Plan Limitations
The Free plan is subject to these limitations:
- Maximum of 3 proposals per rolling 30-day period (across your entire account, including team members if applicable)
- AcreDraft watermark appears on exported PDFs
- Some features (custom branding, email sending, analytics, deposit collection) are not available
We reserve the right to modify Free plan limits at any time.
6. Team Accounts (Crew Plan)
- The Crew plan allows up to 5 total users (1 owner + 4 invited members)
- The account owner invites team members by email. Invited members must create their own AcreDraft account
- Team members share access to the team's proposals, clients, and business branding
- The account owner is responsible for all activity by team members
- The account owner can remove team members at any time
- If the account owner downgrades from the Crew plan, all team members are automatically disconnected and revert to their own individual accounts
- Team members do not need their own paid subscription — they inherit the owner's plan features
7. Acceptable Use
You agree NOT to use AcreDraft to:
- Violate any applicable law or regulation
- Send spam, unsolicited communications, or bulk messages to people who have not requested proposals
- Create proposals containing false, misleading, or fraudulent information
- Impersonate another business or contractor
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to other users' accounts or data
- Use the Service in a way that could damage, disable, or overburden our infrastructure
- Scrape, crawl, or automatically extract data from the Service
- Resell, sublicense, or redistribute access to AcreDraft without our written permission
We reserve the right to suspend or terminate accounts that violate these terms.
8. Your Content and Data
- You own your content. All proposals, client data, business information, and other content you create or upload remains yours
- License to us: By using AcreDraft, you grant us a limited license to store, process, display, and transmit your content solely to provide the Service to you (e.g., generating proposals, sending emails, rendering PDFs). We do not use your content for any other purpose
- Responsibility: You are solely responsible for the accuracy and legality of the content in your proposals, including pricing, scope of work, terms, and conditions. AcreDraft does not verify or validate your proposal content
- Backups: While we maintain regular backups, you are responsible for maintaining your own copies of important business data. We recommend periodically exporting your proposals as PDFs
9. AI-Generated Content
AcreDraft uses AI to assist in generating proposal content:
- AI-generated content is provided as a starting point and suggestion. It may contain errors, inaccuracies, or inappropriate content
- You are fully responsible for reviewing, editing, and approving all AI-generated content before sending it to clients. Do not send AI-generated proposals without reviewing them
- AcreDraft does not guarantee that AI-generated content is accurate, complete, legally compliant, or suitable for your specific situation
- AI-generated scope of work, material estimates, and project timelines are approximations — they are not professional engineering, architectural, or legal advice
- You should not rely on AI-generated pricing as a substitute for your own cost estimation and business judgment
10. Intellectual Property
- AcreDraft's IP: The AcreDraft name, logo, website design, application code, and underlying technology are owned by AcreDraft and protected by intellectual property laws. You may not copy, modify, or reverse-engineer any part of the Service
- Your brand: Your business name, logo, and branding remain your property. We display them only within your proposals and account as directed by you
- Proposal content: You own the content of your proposals. AcreDraft claims no ownership over proposals you create
11. Sending Communications on Your Behalf
When you use AcreDraft to email proposals to clients:
- Emails are sent from AcreDraft's email infrastructure on your behalf, displaying your business name
- You are responsible for ensuring you have permission to email the recipients
- You agree to comply with applicable email laws (CAN-SPAM Act, CASL in Canada)
- We may include a small "Powered by AcreDraft" footer in emails sent on free accounts
- We do not send any communications to your clients other than what you explicitly initiate
12. Third-Party Services
AcreDraft integrates with third-party services (Supabase, Dodo Payments, Resend, AI providers). These services have their own terms and privacy policies. We are not responsible for the practices of third-party services. Your use of deposit collection links (Venmo, PayPal, CashApp, Zelle, etc.) is governed by those platforms' terms — AcreDraft is not a party to those transactions.
13. Availability and Uptime
- We strive to maintain high availability but do not guarantee uninterrupted access
- The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control
- We are not liable for any loss or damage resulting from Service downtime
- We will make reasonable efforts to provide advance notice of planned maintenance
14. Limitation of Liability
To the maximum extent permitted by law:
- AcreDraft's total liability to you for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim
- AcreDraft is not liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to: loss of revenue, loss of clients, loss of data, or loss of business opportunities
- AcreDraft is not liable for any damages resulting from: proposals you send to clients, reliance on AI-generated content, actions of your team members, or third-party service outages
15. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Service will meet your specific requirements
- The Service will be uninterrupted, timely, or error-free
- AI-generated content will be accurate or suitable
- Results obtained from the Service will be accurate or reliable
16. Indemnification
You agree to indemnify and hold harmless AcreDraft, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from:
- Your use of the Service
- Content in proposals you create or send
- Your violation of these Terms
- Your violation of any law or regulation
- Your infringement of any third party's rights
17. Termination
- By you: You may cancel your subscription and delete your account at any time from your Settings page. Cancellation takes effect at the end of your billing period
- By us: We may suspend or terminate your account if you violate these Terms, with or without notice depending on the severity. We will attempt to provide notice and an opportunity to cure non-severe violations before termination
- Effect of termination: Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination in case you wish to reactivate. After 30 days, your data will be permanently deleted
18. Dispute Resolution
- Informal resolution first: Before filing any legal claim, you agree to contact us at support@acredraft.com and attempt to resolve the dispute informally for at least 30 days
- Governing law: These Terms are governed by the laws of the State of Oklahoma, without regard to conflict of law principles
- Jurisdiction: Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Oklahoma County, Oklahoma
19. General Provisions
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and AcreDraft
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect
- Waiver: Our failure to enforce any provision does not waive our right to enforce it later
- Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets
- Modifications: We may modify these Terms at any time. We will notify you of material changes via email or prominent notice on the site. Continued use after changes take effect constitutes acceptance
